Benefits Attorney to primarily assist with wide variety of employee benefits matters both domestically and internationally. This position will support the Legal team in advising Human Resources and management on a broad range of domestic and international employee benefits matters, including but not limited to advising on the design, administration, and implementation of all benefits plans and programs, including retirement, medical, dental, vision, voluntary benefit, life insurance, and short- and long-term disability plans and programs. In addition, this position will provide support on general executive compensation matters, including equity and incentive compensation plans and arrangements.


Responsibilities


• Provide advice and support on a broad spectrum of issues regarding benefit plans and compensation programs, including: legal requirements for health and welfare benefits, wellness programs, perks, 401(k) plans, retirement, and deferred compensation, and the governance, design, interpretation and administration of such plans;


• Review and draft plan documents and related amendments, summary plan descriptions for defined contribution plans, welfare plans, trust agreements, and deferred compensation arrangements;


• Assist with drafting, interpreting and enforcing employment, separation, non-competition, confidentiality and consulting agreements, NDAs and restrictive covenants, and other similar agreements;


• Partner with Human Resources to ensure all benefit plans and programs are in compliance with applicable regulatory and legislative requirements in various jurisdictions, including but not limited to ERISA, HIPAA, COBRA, and PPACA;


• Provide support with drafting and amending executive compensation plans, programs and related materials, as needed;


• Provide guidance on executive compensation and separation including, Internal Revenue Code Section 409A issues;


• Monitor legislation, regulations, case law, and government enforcement activities relating to benefits, executive compensation and disclosure matters, and assist with implementation and ongoing compliance with any new requirements;


• Conduct due diligence and provide additional legal support on compensation and employee benefits matters as related to potential mergers and acquisitions or joint ventures;


• Assist with assessing company risks and balance with business needs to provide pragmatic legal advice while working collaboratively with business groups; and


• Support Legal Department in general commercial contract review.


Qualifications


• Juris doctor degree and current membership in at least one state bar


• Minimum of three to five years of meaningful employment law and employee benefit experience advising Human Resources and management either in a law firm or in-house


• Firm knowledge of U.S. benefits laws and regulations including IRS code, ERISA, PPACA, COBRA, and HIPAA. Working knowledge of international benefits schemes and regulations


• Ability to work collaboratively in a fast paced dynamic legal department with global operations


• Strong writing skills, work ethic and attention to detail


• Team player with strong interpersonal and communication skills and ability to multi-task and prioritize


• Good business acumen and ability to provide practical legal advice to business partners


• Ability to manage confidential information and sensitive situations with tact and discretion
