Review and respond to Requests for Proposal from GHHN clients and negotiate final contracts and provide advice on exception approval issues.
Advise on lending and non-lending products sold by Commercial Banking with a heavy focus on core cash and liquidity products.
Provide transactional support, including analysis and advice on structural and risk issues; review, negotiate and/or draft credit and collateral documentation; and non-standard confidentiality agreements; and tailor standard bank documentation forms for specific transactions and assist with client exits.
Assist with various projects and initiatives to meet business, regulatory or operational goals and help the business address any compliance or audit concerns.
Keep abreast of legal and regulatory changes, and comment on proposed legislation affecting products and services provided by GHHN and affecting GHHN clients.
Draft Legal Opinions
Juris Doctor Degree (candidate must be a licensed attorney in good standing, with the ability to practice in-house) with a minimum of 5 years of relevant legal practice experience.The successful candidate may not start the role until in compliance with the Illinois licensing requirements if based in Illinois or Texas, if based in Plano.
Attorney must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
Transactional experience with heavy contract negotiation skills and experience in delivery of core banking products and services for commercial clients.
Excellent research, writing and oral communication skills, with the ability to listen effectively.
Team player, with excellent people and organizational skills.
Effective and efficient problem solver; strong multi-tasking skills.
Self-starter; ability to deliver high-quality results under tight deadlines.
Some knowledge of Treasury services products, including experience in UCC Articles 3, 4, 4A, 8 & 9 and payment and clearinghouse rules.
All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
The following knowledge and experience would be a plus:
Preparation of and responding to requests for proposals, particularly state and local government RFPs.
Public finance, credit and lending issues, commercial and real estate documentation.
Issues relating to state and local governments, including local procurement laws.
Letters of credit, direct purchase and other bond issuances.
In-house counsel with a financial institution, government, not-for-profit, educational, healthcare or similar entity or outside counsel focusing on financial institutions law or public finance.
Compliance, risk management or consulting experience.
