Leading Technology Company is looking for a seasoned, practical Senior Director or Director of Corporate and Securities, depending on experience. Under the guidance of the VP, AGC Corporate, this position will work collaboratively with and serve as a key advisor to Leading Technology Company’s Finance, Investor Relations, Public Relations/Communications, Tax, Treasury and HR teams. This position will provide practical, business-focused advice and solutions to complex business challenges and will have the opportunity to operate independently in a dynamic, high-growth environment to support the corporate, securities and governance needs of Leading Technology Company. This position will manage a small but growing internal team, as well as our outside counsel.

Responsibilities

Oversee and advise on SEC reporting and compliance matters, including 10-K, 10-Q, 8-K, Section 16 and Section 13 filings, earnings releases and investor presentations, and oversee the Disclosure Committee process.

Oversee preparation of all aspects of proxy statement and annual meeting planning and logistics.

Manage insider trading compliance program, including managing trading windows, 10b5-1 plans and pre-clearances and advising S16 insiders on a broad range of issues.

Support governance matters, including advising on Delaware corporate law, charter and bylaw provisions, committee charters, Code of Conduct and other governance policies, independence and related party transactions matters, policy updates and training initiatives.

Support board of directors and board committees, including assisting with the preparation of board and committee materials and meeting minutes and annual governance calendar.

Oversee domestic and international entity management and governance, including supporting international expansion committee.

Advise and work closely with senior management and a variety of key stakeholders, including Finance, HR, Investor Relations, Public Relations, Tax and Treasury teams.

Manage internal team members and outside counsel.

Assist with other projects as requested.

Requirements

J.D. degree, strong academic credentials and California state bar membership

8+ years of relevant legal experience at a top firm and in-house, including experience with in-house corporate and securities function

Expert knowledge of applicable SEC and NASDAQ rules and best practices

Ability to independently manage cross-functional projects simultaneously under deadline pressure

Ability to collaborate effectively with cross functional teams and internal clients

Excellent interpersonal and communication skills

Proactive approach with practical business judgment

Team-first attitude and impeccable ethics and integrity

High level of personal drive and desire to learn new areas of practice and expand responsibilities

Support major transactions, including M&A and strategic transactions

Ability to efficiently manage outside counsel
