Meet with internal stakeholders to fully understand the business objectives and assess the risks arising out of a proposed vendor or client contracts.Actively lead the Issuing Product Solutions team in negotiating with vendors with complex contracting structures such as 1:1, 1:N, back-to-back, and multiparty contracts.Be the subject matter expert on vendor contracts for the product line of business as to be able to explain and convey terms to internal legal teams, client contract professional teams and third parties.Serve as the Issuing Product Group's primary point of contact during negotiations for clients or vendors, and within TSYS. Builds strong working relationships with marketing, sales, support staff, product development, commercialization, pricing, and vendors plus senior management and key customers.This role has full accountability for the composition of client agreements as they relate to issuer products and services including all commercialization terms, services and will serve as the liaison between product and client legal teams.
Draft, review and negotiate a broad range of agreements, with a primary focus on software products, cloud services, and SaaS including software licensing, white labeling, support, and professional services agreements. Advise on legal, finance and business considerations associated with those commercial transactions. Assist in developing and implementing improvements to business processes to support the contracting process and ongoing compliance. Lead contract cycle management through close-out, including contract modifications and compliance with contractual terms.
Review, edit, and draft responses to client terms and conditions on behalf of IPG; develop or facilitate development of contract templates and other tools to be used by sales teams for commercialization. Be the subject matter expert for contracting terms with clients and vendors including service descriptions within contracts, licensing, flow-downs, service level structure, support windows, information security and other legal term dependencies. Advise TSYS product teams and senior management and make recommendations to attorneys about contractual risks which create legal and business exposure to TSYS. Identify risks; facilitate internal review of issues and obtain management/legal resolution. Exercise sound judgment in determining when issues require the involvement of other parts of the business or the Legal Department. Work closely with bid support personnel, pricing, and other internal organizations to minimize margin erosion and mitigate risk items between bid review and contract signature.
Following execution of a contract, provide front-line contractual support for interpretation, including working with TSYS sales teams, commercialization, senior management, and other members of the Legal Department on potential disputes and accounting or revenue recognition issues. Maintain in-depth knowledge of TSYS' procedures, processes and policies, especially contracting policies, incoming orders, and revenue recognition. Be knowledgeable of commercial contractual laws and practices within the software industry; possess working knowledge of TSYS' Solutions (products and services) and capabilities, financial analysis (P&L), tax laws, and general business laws.
Develop and provide education to internal organizations (e.g. Sales, Customer Services, Professional Services and Legal associates) regarding product and services contracting best practices and other relevant topics.
What Are We Looking For in This Role?
Bachelor's degree in business
Typically Minimum 10+ Years Relevant Exp
4 - 7 years commercial contracting experience with a focus on sourcing or sales contracting or equivalent experience
Must have or acquire an in-depth knowledge of TSYS' policies, organizational relationships and procedures, and acquire a working knowledge of TSYS' Issuer solutions (products and services).
Master's Degree - MBA or Juris Doctorate (JD)
Prefer experience in a software development environment or in a professional services role. Preferred background in payments in B2B business model.

In depth knowledge of services contracts including outsourcing, SaaS and managed services.
Lead and conduct negotiations with minimal supervision to minimize TSYS' financial and legal risk; possess excellent conflict resolution skills
Ability to supervise and coordinate efforts of one or more personnel from different areas both internally and externally
Ability to work well under pressure with diligence, organization, and minimal supervision, and provide practical advice to clients.
Ability to manage a diverse and complex workload while maintaining priorities and proactively anticipating issues
Demonstrated experience and skills in managing a volume of large and/or strategic agreements and suite of agreement templates through collaboration tools.
A self-starter who operates well in a fast-paced environment that places a strong premium on integrity, excellence, execution and teamwork.
