The Sr. Legal Counsel – Security-Based Swap Dealer Attorney provides day-to-day leadership and advice to the equity and fixed income derivatives teams within Santander’s Corporate & Investment Bank (“CIB”), as well as other CIB lines of business and corporate functions.


Serve as subject matter expert (“SME”) with respect to U.S. Securities & Exchange Commission (“SEC”) security-based swap dealer regulation as well as U.S. Commodity Futures Trading Commission (“CFTC”) swap dealer regulation.Provide leadership and guidance to all stakeholders, both in the U.S. and Madrid.

Provide legal support for Santander’s registration as a security-based swap dealer with the SEC and application for substituted compliance with local regulators.

Learn and advise on applicable international regulatory requirements (i.e., EU, UK).

Provide legal support for all aspects of Santander’s security-based swap dealer compliance program:oversee engagement of outside counsel and consultants; review policies, procedures and controls; advise on governance requirements; determine synergies with swap dealer compliance program; etc.

Interact closely with business personnel as well as risk, compliance and operations departments, both in the U.S. and Madrid, to mitigate risk and ensure compliance with legal and regulatory requirements.

Participate in industry groups to say abreast of market, legal and regulatory developments.

Act as legal/technical expert providing advice, insights and solutions on applicable legal/technical and compliance issues affecting strategies, programs, plans (design and operations) and practices, especially as they relate to derivative products.

Analyze key policy, legislative and legal developments and issues, and share advice, insights and solutions with internal business and functional clients.

Research relevant legal issues and technical and industry specific topics.

Review current developments in the area of legal/technical expertise, prepare complex technical analyses and provide advice, insights and solutions.

Assist with the coverage of other CIB businesses and contribute to Firmwide and Legal Department projects and initiatives.

Bachelor's Degree, Law / J.D. degree, and active license to practice law in New York.

9-12 years’ experience practicing law in financial services, law firms or a U.S. regulator.

Entrepreneurial mindset to support a dynamic and growing investment bank.

Experience in the interpretation, analysis and implementation of complex U.S. and international regulatory requirements.

Preference direct experience working either for or with regulators and for transactional experience in the derivatives market.

Ability to articulate and relay information in an effective and efficient manner.

Ability to build strong relationships internally and externally.

Ability to coach and guide others.

Ability to define problems and collect relevant information.

Ability to develop strategy and tactics for complex, high profile matters.

Ability to effectively, efficiently and calmly manage multiple time-sensitive projects.

Outstanding verbal and written communication skills.

Proficiency with Microsoft Office Excel, PowerPoint and Outlook required.

Strong ability to identify and solve complex problems.

Strong sense of urgency with the ability to meet deadlines.
