The Transaction Management team at Capital Markets Inc. (a subsidiary of SMBC) is seeking a Senior ISDA Documentation Negotiator.
Our Capital Markets business is an established derivatives dealer with a broad product portfolio, with specific emphasis on interest rates and foreign exchange.The business has been in operation for more than 30 years, and is a leading market-maker in several markets.
The Senior ISDA Negotiator will report to the Head of our Capital Markets Transaction Management team. You will lead negotiations on documentation related to the derivatives business, with a heavy emphasis on review and negotiation of finance documents including Credit Agreements, Intercreditor Agreements, Note Purchase Agreements, etc. in connection with interest rate, currency and commodity risk.
This is a business-side position which will strongly utilize your legal background and skills.
Review and negotiation of financing documents focusing on provisions relating to integrated derivatives transactions.
Negotiating ISDA documentation (including Credit Support Annexes of a regulated and unregulated nature) covering different counterparty types located in various jurisdictions.
Drafting internal memoranda summarizing key terms of ISDA and finance documentation.
Working on projects related to regulatory documentation, including with respect to margin rules for uncleared swaps, and resolution regimes.
Liaising with other departments, including Legal, Management, Credit, Front Office and Operations.
Bachelor's Degree required. JD Degree is preferred, though not required.
Minimum of 3-5 years law firm and/or financial institution/bank experience with exposure to complex financial transactions.
Minimum 1-2 plus years experience in ISDA documentation a plus. Experience negotiating ISDA Master Agreements and CSAs related to such arrangements preferred.
Familiarity with ISDA Protocol initiatives, including experience with margin rule related documentation preferred.
Exposure to more complex derivatives transactions and secured financing documentation necessary.
Ability to work under time pressure.
Strong analytical and organizational skills.
Ability to work on multiple assignments simultaneously.
Strong communication skills, both written and verbal.
